CFOx supported a private equity sponsor during simultaneous acquisitions of two consulting and professional services businesses. Because both acquisitions were completed on a concurrent timeline, the sponsor required coordinated support across multiple purchase agreements, closing workstreams, and stakeholder groups. Our CFO and Accounting Services team provided transaction-related accounting and financial advisory throughout the closing process.

Our team analyzed Net Working Capital, cash, indebtedness, and transaction expense balances for both targets while preparing closing balance sheets and closing statements in accordance with the respective purchase agreements. The review provided visibility into key purchase price components and helped ensure closing calculations aligned with the requirements of each purchase agreement. This work helped ensure accounts for each target entity were properly closed and recorded by both sellers.

CFOx developed detailed reconciliations and supporting schedules to substantiate acquired balances, support Net Working Capital analyses, facilitate purchase price adjustment calculations, and assist with the buyer’s Opening Balance Sheet. The team also calculated and recorded purchase price adjustments and post-close settlement amounts between sellers and buyer, facilitating a clean transfer of assets and liabilities.

Throughout the process, CFOx acted as a financial facilitator among the buyer, sellers, and other stakeholders, helping the parties address accounting matters, understand closing mechanics, and evaluate post-close settlement considerations.
